Felicia Bortolussi advises public and private companies on corporate, securities, governance, and strategic business matters, bringing more than three decades of legal experience across a range of industries.

Throughout her career, she has served as legal counsel, corporate secretary, and interim General Counsel to organizations in the energy, infrastructure, construction, technology, and industrial sectors. She has worked closely with executive teams and boards of directors, providing guidance on governance, compliance, financing activities, mergers and acquisitions, executive compensation, and corporate transactions.

Felicia’s experience includes senior legal leadership roles with publicly listed companies, advising on transformative acquisitions, refinancing initiatives, capital markets transactions, and corporate governance matters. Prior to her in-house roles, she was a partner in the Calgary office of a global law firm, practising in corporate, securities, and commercial transactions. She is a trusted advisor to executives and boards, bringing practical legal judgement, governance experience, and a business-focused perspective to complex organizational decisions.

  • Interim General Counsel at a TSX listed construction and services company with operations across Canada in the energy and diversified industrial sectors, supporting transformative growth acquisition and financing activity.
  • Interim General Counsel and Corporate Secretary at a TSX listed heavy construction and infrastructure services company operating in Western Canada, supporting refinancing and divestiture program, and governance matters.
  • In-house Legal Counsel to publicly listed exchange traded fund providing guidance on legal risk, including financings, incentive compensation programs, internal governance and shareholder matters.
  • Partner in Calgary office of global law firm on the corporate, securities and commercial transactions practice teams.
  • Counsel for an Alberta based private company wind energy project developer on various private financings, investments and development projects, and related transactions including an $850 million joint venture for a portfolio of 400MW Alberta wind farm developments with a European based renewable power conglomerate.
  • Counsel and Corporate Secretary for TSXV listed Calgary based junior oil and gas company, from its reverse take-over going-public transaction and including various private placement and public financings, acquisitions, joint venture with a First Nations organization, corporate governance matters and recapitalization.
  • Counsel and Corporate Secretary for TSX listed hybrid and electric vehicle technology company, from its going-public transaction through its life cycle involving expansion to the U.S.A. and Europe.
